Terms of Service

1. Acceptance of Terms

By accessing this portal or registering for ToggleITAI services, you agree to comply with and be bound by these Terms of Service. These terms constitute a legally binding contract between yourself (or the entity you represent) and ToggleITAI. If you do not agree to these terms, you must cease using the portal.

2. Services Description

ToggleITAI provides technological engineering, SaaS platform builds, cloud-native deployments, machine learning modeling, fine-tuning, and managed growth consulting. Detailed deliverables for individual services are governed by project-specific Statements of Work (SOWs) which supplement these general terms.

3. Payment & Subscriptions

Pricing tiers (Starter, Growth, Enterprise) are structured on recurring monthly subscriptions. Payments are routed securely through Stripe.

Billing Details:

• Late Payments: Accounts not cleared within 7 days of invoice generation may have access to code repositories and hosting deployment pipelines temporarily suspended.
• Cancellation Policy: Subscriptions can be canceled at any time via the billing portal. Cancelations take effect at the end of the current billing cycle. No partial refunds are provided.

4. Intellectual Property

All proprietary design systems, baseline libraries, templates, algorithms, and particle rendering scripts (such as the DotSphere visual components) created by ToggleITAI prior to or independent of client projects remain our exclusive property.

Upon full payment of all fees, custom deliverables, client-specific database designs, and application source code built specifically for your project will be transferred to your ownership, subject to standard non-exclusive licensing of built-in baseline scripts.

5. Confidentiality

Both parties agree to protect and keep secret any proprietary technical code, product specifications, business data, and financial records disclosed during the partnership. This obligation extends for a period of 5 years following subscription termination.

6. Limitation of Liability

To the maximum extent permitted by applicable laws, ToggleITAI shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profit, business interruption, or system downtime resulting from cloud service provider outages (AWS/GCP/Azure) or model prediction deviations.

7. Governing Law (Ireland)

These Terms of Service shall be governed by, interpreted, and enforced in accordance with the laws of Ireland. Any legal dispute or claims arising out of this contract shall be submitted to the exclusive jurisdiction of the competent courts of Dublin, Ireland.
